1. Acceptance of These Terms

These Terms of Service govern your access to and use of Todoal, including the Todoal website, application, and related services.

By creating an account, accessing, or using Todoal, you agree to these Terms of Service and our Privacy Policy, Cookie Policy, and other applicable policies. If you do not agree with these terms, you must not use Todoal.

2. About Todoal

Todoal is a productivity and daily planning application designed to help users organize tasks, reminders, goals, and daily activities. Todoal provides both free and paid features. Features, availability, limits, pricing, and functionality may change over time.

3. Eligibility

You must be legally capable of entering into a binding agreement under the laws applicable to you to use Todoal. If you are using Todoal on behalf of a company or organization, you represent that you have authority to accept these Terms on its behalf.

4. Your Account

You are responsible for maintaining the security of your Todoal account and authentication credentials. You must provide accurate information when creating your account. You must not share your account credentials or allow unauthorized individuals to access your account.

You are responsible for activity occurring through your account unless the activity results from a security issue outside your reasonable control. If you believe your account has been compromised, you should contact us at contact@todoal.com.

5. Using Todoal

You may use Todoal only for lawful purposes. You must not:

• Attempt to gain unauthorized access to Todoal or its infrastructure
• Circumvent subscription limits or security controls
• Abuse APIs or automated systems
• Interfere with the operation of the service
• Upload malicious software or harmful code
• Attempt to access another user's information
• Reverse engineer or exploit the service for unauthorized purposes
• Use Todoal to violate applicable laws
• Abuse email or notification functionality
• Create automated activity intended to overload or disrupt the service

We may restrict or terminate access when necessary to protect Todoal users, the service, or our infrastructure.

6. Your Content

You retain ownership of the content you submit to Todoal, including tasks, reminders, goals, and other information you create. You grant Todoal the limited rights necessary to store, process, transmit, and display your content solely to provide and operate the service. Todoal does not claim ownership of your productivity content.

7. Free Plan

Todoal may provide a free plan with limited functionality. Free plan limits may include restrictions on tasks, reminders, goals, history, or other features. We may change free plan limits or features in the future where permitted by applicable law.

8. Todoal Pro

Todoal Pro provides access to additional functionality and higher usage limits. Current Pro pricing may include $4.99 per month or $49.99 per year. Pricing displayed at the time of purchase will control your subscription. Pro subscriptions automatically renew according to the selected billing interval unless cancelled before the next renewal.

9. Billing and Payments

Payments for Todoal Pro are processed through our payment provider Paddle. You authorize the applicable payment provider to charge the payment method associated with your subscription. Todoal does not directly store complete payment card information. Taxes may be calculated and collected where applicable.

10. Cancellation

You may cancel your Todoal Pro subscription through the subscription management functionality provided in your account. Cancellation normally prevents future renewal while allowing access to paid functionality until the end of the applicable billing period. Cancellation does not automatically delete your Todoal account.

11. Refunds

Unless required by applicable law, Todoal Pro payments are non-refundable. We do not generally provide refunds for unused subscription periods, accidental purchases, changes of mind, or failure to use the service. Nothing in these Terms limits mandatory consumer rights that cannot legally be excluded.

12. Email Notifications

Pro users may receive scheduled Todoal email notifications according to their configured preferences and schedule. Email delivery times are calculated according to the user's configured timezone. Todoal may limit or modify email delivery where necessary for security, reliability, abuse prevention, or service operation. Users may disable available email notifications through their account settings where applicable.

13. Service Availability

Todoal is provided on an ongoing basis, but we do not guarantee that the service will always be available, uninterrupted, or error-free. Maintenance, updates, infrastructure failures, security incidents, third-party outages, and other circumstances may temporarily affect availability. We may modify, suspend, or discontinue parts of the service when reasonably necessary.

14. Third Party Services

Todoal relies on third-party services including authentication infrastructure, payment processing, database infrastructure, email delivery, analytics, and other service providers. Third-party services may have their own terms, privacy policies, and operational limitations. Todoal is not responsible for failures or changes to third-party services outside our reasonable control.

15. Intellectual Property

Todoal and its underlying software, design, branding, graphics, interfaces, content, and technology are owned by Todoal or its licensors. Except for the limited right to use Todoal according to these Terms, you receive no ownership rights in Todoal's intellectual property. You must not copy, reproduce, distribute, modify, sell, or create derivative works from Todoal without appropriate authorization.

16. Privacy

Your use of Todoal is also governed by our Privacy Policy. We process personal information according to the purposes and legal bases described in that policy. You can contact us regarding privacy matters at contact@todoal.com.

17. Termination

You may stop using Todoal at any time. We may suspend or terminate an account where reasonably necessary because of violations of these Terms, fraud, abuse, security threats, unlawful activity, or other circumstances that could materially harm Todoal or its users.

18. Account Deletion

You may request or initiate deletion of your Todoal account through available account settings. Account deletion may permanently remove your account and associated data subject to applicable legal retention requirements. Once account data has been permanently deleted, it may not be recoverable.

19. Disclaimer

To the maximum extent permitted by applicable law, Todoal is provided on an as-is and as-available basis. We do not guarantee that Todoal will meet every individual requirement or that the service will operate without interruption, errors, or delays. Todoal is a productivity tool and does not provide professional legal, financial, medical, or other regulated professional advice.

20. Limitation of Liability

To the maximum extent permitted by applicable law, Todoal and its owners, operators, employees, affiliates, and service providers will not be liable for indirect, incidental, consequential, special, or punitive damages arising from your use of or inability to use the service. Where liability cannot legally be excluded, it will be limited to the maximum extent permitted by applicable law.

21. Indemnification

To the extent permitted by applicable law, you agree to be responsible for claims, damages, losses, liabilities, and reasonable expenses arising from your unlawful use of Todoal, your violation of these Terms, or your infringement of another person's rights.

22. Changes to These Terms

We may update these Terms when our services, features, pricing, or legal requirements change. When material changes are made, we will provide appropriate notice where required by law. Your continued use of Todoal after the updated Terms become effective means you accept the updated Terms to the extent permitted by applicable law.

23. Governing Law

These Terms are governed by the laws applicable to Todoal's operating entity, except where mandatory consumer protection or other applicable laws provide you with additional rights.
